Henry, The purchase of Marathon was independent of Ontak approval. From my notes taken from the prospectus(not infallible), the acquisition could occur no later than January of 99. Approximately 5MM is the purchase price with an additional 3MM due upon Ontak approval. Sorry but I do not believe this alone means that Ontak approval is imminent. J.D.
