David,

Concerns: Mark E. told me they would be listed on the NASDAQ by January back in November. In January he told me 'by February.' He also told me they would have an audited statement prepared for shareholders by year end 1996... still waiting.... He also said they would have an announcement per week of business. So far I've only seen 'alliances.'

I think the ONLY way to look at shares outstanding is using FULLY DILUTED shares outstanding. PERIOD.

Also, for every buyer, there is a seller (as far as transactions go on the exchange). So don't get bullish on VOLUME changing hands until the bid steps up and indicates the BUYER INITIATED the transaction and has cleared away the overhang of stock. I think it is too early to tell if that volume is bullish. Wait for the bid to step up and look for a continuation of heavy volume on the offered side of the market.

Watch ZITL (the conservative play in year 2000) for confirmation. If ZITL isn't going up, then forget about ZMAX. Check the charts to see what happened in December....see that ZITL rallied first...

Good luck,

Tim West
