If a private placement was done the shares would NOT be sold now. Anyone watching BNEZ's progress would wait till distribution increases and the advertising is rolled out.

I couldn't disagree more. When a small company without proven product requires funds, they have few options. Banks won't touch them, venture capital is unlikely (and you have to give away the store), so what is left is lenders that want a "locked in, low risk" profit. The only way to accomplish this is to acquire shares at a discount and sell them at a profit. To maintain a higher stock price into the selling they may attempt to generate demand by hyping the stock (as Farrar did with EDII in the same situation). So it is highly likely those shares are hitting the market. The only way to control this is with restricted shares, and as we know all the eggs are with PMA, and if it doesn't sell, restricted shares are worthless.
