Declares Infowave Form 20-F "Effective"
Infowave Software, Inc. (VSE: IWM) today announced that the
Company's Form 20-F registration statement has become effective.
Infowave is now a reporting company under the U.S. Securities
Exchange Act of 1934, as amended.
"This is an important milestone in our ongoing efforts to maximize
shareholder value," said Todd Carter, Infowave's CFO. "The
majority of our customers and partners are already located in the
United States and now Infowave is also accessible to American investors."
Infowave's stock can now be solicited and traded by licensed
broker- dealers in the United States in compliance with Securities
and Exchange Commission ("SEC") regulations. As previously
announced, certain Infowave securities were already exempt in some
States under the Standard & Poor's manual exemption for secondary
trading. Infowave now has greater flexibility to carry out
investor relations activities in the U.S. in compliance with
applicable state laws. The effective registration statement also
moves Infowave closer to eligibility for listing its stock on a
