DEPENDENCE ON KEY PERSONNEL. Jerome Falic, the Company's President and Simon Falic, the Company's Chief Operating Officer and Chief Financial Officer are primarily responsible for the Company's merchandise purchases, and have developed strong, reliable relationships with suppliers, as well as customers of the Wholesale division in the United States, Europe, Asia and South America. The loss of service of either of these, or any of the Company's other current executive officers could have a material adverse effect on the Company.
