because nothing is definite about announcements
that day.
my best guesses, and they are only guesses:
1. on or possibly before February 17, there
will be a public announcement that a majority
of noteholders have approved the consent
solicitation for the spinoff/ipo and the
corporate investor.
2. there was the pro forma clause that the
date could be delayed, to be precise, but
this is IMO almost impossible. it is also
possible that a majority of noteholders will
vote before that date, and an announcement
by the company could therefore come before
february 17. that is possible.
3. IMO most likely the formal announcement
of the spinoff or ipo would come after the
market closes february 17, or very shortly
thereafter. this is only a guess, it could
come a little earlier if voting ends before
the 17th, or it could come afterwards if the
company wants a few days beyond the 17th.
but i think it will be close, that is just
my opinion but I am fairly confident it will
be born out.
4. the intriguing question is when the
corporate investor would be announced (or
would lead). since this was mentioned
directly in the consent solicitation, the
latest it would be announced would be
contemporaneous with the spinoff/ipo.
most likely it would be included in the
formal SEC registration. all near the
17th, IMO.
however, I cannot think of why the company
cant release the corporate investor sooner,
before voting ends. there is nothing wrong
with that, that I can think of. so it is
possible we get a surpise announcement soon
if it is a mega-company. it is also possible
that word leaks through one of the many
media now covering idt (CBS, CNN, etc.).
let me emphasize that this is speculation
on my part, with no evidence, so dont rely
on it too much. because of the situation
we find ourselves in, as long as investors
understand this is just a forecast, i have
no problem putting these thoughts on the
table.
gooch, i will say this. i have always had
a strong hunch that the hidden ball in this
deal is the corporate investor. idt alone
can do a solid spinoff or ipo. but it is
a brand name world class internet corporate
player that brings the huge upside potential
that gets serious.
so expect nothing, listen closely, read
carefully, trust no one, but fasten your
seat belts. |
