REVERSE SPLIT WILL NOT OCCUR Numerous financing proposals were addressed earlier this year by the management of Pacel, Corp. Steps were taken to facilitate a course of action that was never finalized. Apparently the NASD was not yet notified of the change of direction taken by Pacel. The proposal presented by my firm PMR and Associates was accepted and the contract signed on 1-27-99. This proposal does not feature a reverse split. Since 1-27-99 the share price has improved, volume increased and hopefully events will continue in this vein. My conversation with Mr. Calkins this afternoon indicated that there has been absolutely no departure from the foregoing. Steps either have been taken or will be taken to ensure the recision order is filed with the NASD. I will keep our shareholder community informed as events warrant.
