primarily for the purpose of enabling IDT to effect one or more
possible financing transactions involving Net2Phone,
Inc., a Delaware corporation and the subsidiary of IDT that
conducts IDT's Internet telephony operations. Such a transaction
may consist of the issuance of Net2Phone's capital stock to
private investors or to the public. IDT is currently in
discussions with several parties who have expressed an interest
in making equity investments in Net2Phone.

990128 - Big underwriter may be key to success for Web IPOs

NEW YORK,, Jan 28 (Reuters) - Faced with the decision about what
new Internet-related initial public offering to put money into, investors
can often make the winning choice by focusing on big name
underwriters, according to IPO industry sources.

''A big name underwriter will absolutely make a difference,'' said Ben
Holmes, an analyst at ipoPros, a Boulder, Colo., consultancy. ''They
will support the deal, and not walk away from it after the pricing,''
Holmes said. ''That gives investors a certain security,'' he added.

The correlation between a big name underwriter and an exciting IPO
was proven when MarketWatch.com, an online business news
provider, soared 458 percent to $92 a share on its first day of trade two
weeks ago, after being offered initially at $17.

The stock offering, underwritten by BT Alex. Brown, has been
holding its momentum after its sparkling debut, despite losing some of
its value in recent days. Shares traded up 4 at 73-1/2 on Thursday.

to the moon and keep it there. I put this all together with what
