maximize the potential of installed telephone lines thus avoiding
installation of new wiring, a process which is time consuming and extremely
expensive.

The demand for enhanced and interactive services has grown dramatically.
There are currently over 30 million internet accounts in the United States
using 56 Kbps or slower service. Driven by slow and unreliable service
from current internet service providers, many consumers and telecommuters
are demanding high speed internet access. Using its proprietary hardware,
mPhase offers a specific flavor of DSL called RADSL (Rate Adaptive Digital
Subscriber Line) allowing high-speed data transmission at speeds up to
8Mbps downstream and up to 1 Mbps upstream, increasing throughput up to 250
times faster than an existing 28.8K Internet connection. This allows for
high-speed Internet access, digital video, and telephone communications to
be conducted over an existing telephone line simultaneously. Because the
transmission speed is rate adaptive, mPhase xDSL adjusts to the length and
signal quality of the telephone line, automatically selecting the highest
practical operating speed.

mPhase has stated that they are the first affordable alternative to coaxial
and fiber delivery for regional bell operating companies and local
telephone exchange carriers. The mPhase xDSL transceiver is the only
technology able to transport voice, digital video programming, and data
over existing telephone lines without impacting traffic and without
degrading voice quality. mPhase has also stated that they will engage in
development of additional applications which may include video
teleconferencing, distance learning, tele-medicine, baby monitoring,
e-commerce and house alarms.

AWRE), Orckit (NASDAQ: ORCTF), PairGain (NASDAQ: PAIR), Alcatel (NYSE:

In a recent research report written in August, 1998, Kaufman Brothers, L.P.
issued a Buy rating on the company with a 12 to 18 month price target of
