The difference between the tangible assets and the purchase price is usually called "goodwill". This amount will be written off over a number of years.
The other thing they can do is call the difference "research and development" that is now "worthless" and write it off as a one time charge.
Anyway you look at it, the amount gets written off, and will show up in their "accumulated deficit".
