I would never develop Office for a company in the Operating system business (only).

But that's just the point, isn't it?. That's one way a separate applications company would provide more competition and more choice for consumers (and probably lower prices) even if they didn't participate directly in the OS market.

And by the way, Office 98 (MacOffice) was developed because it's a great business, not because it was a way to settle a lawsuit. Ben Waldman, who runs that unit, has said several times that he and others were ready to buy the business and run it as a separate company if Microsoft didn't want to develop the program.
