Reverse split of 10 to 1.
New par value to be $.000004 per share. Authorized shares will remain at 19mn for common and 1mn for preferred after the reverse split.

Directors and executive officers of the company and affiliates beneficially own 568,163 shares as of 2/16/99.

Approximate shares outstanding on 2/16/99 is 16,661,672.
