I glanced at it when it was approved several weeks ago. It is an anti-takeover measure. If certain things happen that indicate someone hostile is getting control, then it triggers rights that go to the shareholders which immediately dilute the position of the person trying to buy the company. That's how I recall it, at least. Unless there is a hostile takeover attempt, it's a dormant matter.
