I have not seen anything that would indicate that there is any uncertainty with respect to ASND / LU merger - the first 4 reasons that you have provided are plenty to cause the drop in ASND price. Lucent is too savvy a company to allow a deal of the magnitude as this to fail. Also CSCO's pronouncements since the deal was announced indicate that they may have some concerns.

Only the most naive of investors believed that the vertical rise in large cap tech stocks could continue for ever. NASDAQ and NAS 100 will probably again have an annual gain of 20+ %, but not without substantial volatility. Companies with real earnings (like LU, INTC, SUNW, DELL) will hold their value better than most. The small and mid cap tech stocks will again take it on their chin in this correction although they probably represent far better value. The stock I really like (after having bailed out at 48 is COMS).

I am long ASND stock (also have naked puts sold at 70 Feb). I would imagine bargain hunting (on a relative basis) to result in some strength in techs before the week is out.
