Fascinating remarks by Brian Halla:

"Even though the PC is not of interest to us, we do participate," he told the money managers. "We can't help but be affected by that." He likened National Semi's position in the wake of Intel's decision to slash prices of its Celeron processors to being "the civilian hospital next to the chemical plant."

"PC prices have eroded very rapidly," he said. Merrill Lynch analysts on Wednesday improved their fiscal 1999 estimate for the company to a loss of $1.23 from a loss of $1.27.

"National has done a good job reinvigorating its analog semiconductor
business and is seeing solid demand for the wireless business as well," the Merrill analysts said. "However, the company's hopes to re-establish a presence in the networking market have not met with success."

Merrill has a "neutral" rating on the stock.
