nation's third-largest independent public relations firm, has entered into an

agreement to combine with BSMG Worldwide, the public relations arm of True

North Communications (NYSE: TNO), in a pooling of interests transaction valued

at approximately $33 million, it was announced today.

Under terms of the agreement, FRB, which had gross revenues for 1998 of

approximately $32.5 million, will operate as a division of BSMG Worldwide,

while maintaining its present structure. The combination is expected to

create the sixth-largest public relations firm in the world, with nearly

900 employees and more than $120 million in annual revenues. During the past

two years, the public relations industry trade press has recognized BSMG and

FRB as two of the fastest-growing public relations and investor relations
