Pursuant to their terms, the vesting of approximately [ ] shares underlying options held by certain officers, directors and service providers will accelerate upon the consummation of the merger, including approximately [ ] shares underlying options held by four officers and directors of IDT.
Furthermore, Identix will enter into employment agreements and noncompetition agreements with Mr. Pieper, Mr. Evans, Mr. Khidekel, and Mr. Shapiro. In connection with the employment agreements, each of those officers will receive an option to purchase 100,000 shares of Identix common stock at an exercise price equal to the closing price of the Identix common stock on AMEX on the closing date of the merger.[emphisis added]
