The paid up letter has certainly caused a problem for many...I continue to find this part of the story amazing. Why did he issue that letter and release the shares? (when as reported he was not paid?)

3. Unless otherwise provided in the articles of incorporation, no stock issued as fully paid up may ever be assessed and the articles of incorporation must not be amended in this particular.
