It just states that Seligman now owns almost 12% of ESIO. Rule 13D requires anyone with more than 5% of the outstanding shares to report a change in postition.

I'd guess this is a buy. But you could check to see if there's an earlier 13G filed by Seligman or to see if they were listed in the last Proxy (Form 14DEF).
