"...Why would a New York Company Incorporated itself in the State of Delaware ? ..." Simple...Delaware has some of the best, if not the best, rates of Corporate taxation of any State in the nation... As for additional rules of incorporation...I believe there are other advantages...but cannot quickly or easily recollect them.. Any Corporate attorneys out there????? z
