putcall i generally agree with you. my friend
hawaii and i have a gentlemen's disagreement
about this.

here's my logic.

first, once the SEC is filed, there will be
very little the Company can say about it
publicly, including at an earnings cc.

therefore, it would not make much sense to
me to file it in the hours before the cc,
because it could not be discussed during
the cc in any meaningul way. similarly,
it would not make much sense to file it
immediately after the cc, because everyone
on the call would know that that is more
important than whatever else is discussed
at that time.

i am not worried about the stock falling
right after the conference call. presumably,
even if the SEC filing was on February 17
and the conference call were two weeks later,
there would be a need to hold the stock to
participate in the spinoff. while i certainly
dont know the details of the spinoff, the
odds are overwhelming that to get the spinoff
shares...assuming that is the deal...investors
would have to hold on to IDT stock past the
date of the earnings cc.

more likely is to file the SEC, probably
including the corporate investor if I
read the consent solicitation correctly,
perhaps one to two weeks before the cc.
Let everyone have a chance to digest
the information made public. file after
the close one day, give a short term chance
to digest, give another week or two for
the market to settle down on the stock
after the filing.

then, devote the cc to a discussion of where
idt telecom is going, the state of play in
the network field (what i would like is some
positive movement on this side from mr. krill,
if possible, discussed during the cc) and
then to let nature take its course after the
cc ends and before net2phone is publicly
traded.

i would add my R.G. Orr disclaimer that this
is merely one investors opinion. i am giving
my reasoning so investors can have some basis
to evaluate, pro or con.
