I'm sorry, perhaps I'm just too young and poor to understand: what's complex about capital gains? If the price goes high enough, those with embedded gains probably should just take the hit.

If you have sufficiently large embedded gains, and want to get out of a position, you could trade into a diversified portfolio without paying cap gains at all with just a modicum of effort. But such a strategy would fail your two 'absolutely required' criteria.
