Response from PROG's CFO:

Kelly:

We are scheduled to do a New York road show this week. Our west coast trip has been rescheduled again as Janney Montgomery Scott (one of our Investment Bankers)had to postpone. We are ready to go and it looks like it will be the following week.

The S-8 we filed registers all the shares in our employee stock option
plans. This is fairly common among public companies and eases the selling process rather than having to file Rule 701 transactions. The total that we registered represents the total options to be granted in these plans. As of December 31, 1998 we had granted approximately 930,000 options that vest over various periods. If and when these shares vest, and the shares are exercised, then the float would increase. There should be no immediate increase in the float.

As our road show schedule takes on some more details, I'll let you know.

Regards.
