I had a chance to speak with Ron Maas this morning....Ron said that the deal(merger)should be done in the next 1 1/2 weeks (by end of Feb.)..has taken longer than they expected, but he was still quite positive about the merger and plans going forward....he also apologized for the frustration caused by the delay.

Left a message for Pierre Narath (CEO)@ Unicore....and received a call back from him a few minutes ago (9:30 pm EST). Cannot express how it increased my confidence when my call was returned...(even after hours). Pierre reiterated that the deal IS happening and reiterated that a plan IS IN PLACE and IS moving forward to grow TSSW. They want to get the deal done and have at least one month (March) of combined operations behind them before Q2. I do expect a loss for Q4-98 and Q1-99...however I gathered that we WILL be back to profitability in Q2-99 (beginning April 99). When I asked Pierre what kind of performance he expected for Q2...he of course could not give specifics...except to say "I do not expect to lose money in Q2...and the remainder of the year should be quite exciting".

He also stated part of the merger delay has been a result of the inherant slowness of legal counsel (of both parties) in communicating back and forth.

After Ron Maas took my direct call...and Pierre Narath expediently returned my call....I must give them credit for making genuine efforts to keep open communications.

PS..Pierre reminded me once again that he will be the largest shareholder (not options...actual stock) and pointed out the significance of this detail (and how it effects his motivation) :>)
