Hi all,

I'm a long time Waterhouse customer and a recent buyer of TD. I have read the last 40 or so postings about a possible IPO of Waterhouse. I have a couple of questions that if anyone can answer, I'd very much appreciate...

1. As a stockholder of TD, how exactly would I benefit from a spinoff. Would my TD shares go up, would I be given a certain number of Waterhouse IPO shares?

2. I was thinking about another possible play. There is a lot of talk about how large investment banks like Merryl Lynch are in a quandry as to how to react to online trading. With the removal of Glass-Steagle, would an outright purchase of TD by MER be feasible. They would get not only a commercial bank but also a separate discount brokerage that would allow them to be in both market segments without stepping on each other. Understand that this is purely my thought process and I'm not saying I heard it anywhere else. I'm not a rumor monger!

All thoughts would be appreciated.
