SIDEWARE SYSTEMS INC. ANNOUNCES US $500,000 PRIVATE PLACEMENT
FOR IMMEDIATE RELEASE - February 18, 1999

Vancouver, BC -- Sideware Systems Inc. (symbol: SYD on the VSE) is pleased to announce that it has arranged a non-brokered private placement in the sum of US $500,000. Under the private placement 1,501,501 special warrants will be issued at a price of US $0.333 per special warrant, subject to regulatory approval.

Each special warrant is convertible into one unit comprising one common share and one share purchase warrant. Each underlying warrant entitles the holder to purchase one additional common share of the Company, for a period of two years, at a price of US $0.333 per share in the first year and US $0.383 per share in the second year.

The proceeds in the sum of US $500,000 will be used for general working capital and to fund U.S. operations.
