I can't understand why some existing biotech doesn't take IMUL out, which would likely preserve at least part of the tax loss. It might even work instead of a secondary for a solid but cash-hungry biotech.

Alternatively, they would be great for a reverse-merger backdoor IPO (like CLPA, although of course that one didn't work out too well <G>)
