Buying back ones stock makes one more expensive or more difficult to take over except that it would increase the %stake someone already had. Also, the company is spending it's cash buying back stock, to the extent that it would pay cash for prey that would be gone if it uses it to buy back stock. There are no "proceeds" as such from a buyback.
