This joint venture arrangement was structured in such a way as to increase the balance sheet rather than impact the revenues of 1st Net. For instance Nickleby's is just now completing a Private Placement at $.60 per share. The value of our stock received in the J/V therefor is valued at $600,000. The company is anticipated to go public around the $3.00 range, thus increasing the value of our position to $3,000,000. If they are successful at there IPO and the Internet market stays hot this stock position could be worth 10 times that equating to $30,000,000.

This type of deal is one of our marketing strategies at 1st Net Technologies. Cutting Internet Marketing deals for cash and equity rather than just cash, giving us the upside that will increase shareholder value.
