I agree that this is a big deal, and at the risk of promoting rumors -

The factors I see are that: the company is selling for less than its asset value. It is selling for significantly lower multiples than other enterprises in its sector. The company has products, a product pipeline, and customers. It is on its way back to profitability. Nobody whose posts I've seen or who I've talked to have anything good to say about Big Al.

Of the four opportunity areas that Lazard focus on, only one seems to fit. From Lazard's website:

"The fund's focus is on four general types of situations, each involving equity or equity-linked investments in middle market companies:

Late-stage venture opportunities, where a business needs funding to expand an already commercially successful product or service

Minority equity investments in established businesses, public or private, typically seeking growth capital

Acquisitions or majority buyouts of established businesses
Build-ups and consolidations in fragmented industries

Typical investments range from $5 million to $40 million in equity, or up to $100 million in total transaction funding. Transactions over that size (including those requiring as much as $50 to $75 million in equity), are evaluated in conjunction with several of Lazard's affiliates and relationships."
