It's not laid out explicitly on the site. Unfortunately, a lot of the EDGAR documentation on the site was written with the registrants (that is, the companies who file) in mind, so a lot of the regulatory matters aren't laid out in full, because it is assumed that those who must file are familiar with the regulations (or their lawyers are, at any rate). We have a task on our "to do" list to rewrite all the EDGAR materials to make them more "average-citizen-friendly," but it may be deferred until the EDGAR II system comes on line.

The exemption for foreign registrants, according to an EDGAR rules expert in the Division of Corporation Finance, is Rule 100(a) of Regulation S-T; see

To quote (in part):

"...General Rules and Regulations for Electronic Filings

Regulation S-T

Rule 100 -- Persons and Entities Subject to Mandated Electronic Filing

The following persons or entities shall be subject to the electronic filing requirements of this Regulation S-T.

a.Registrants whose filings are subject to review by the Division of Corporation Finance, except for foreign private issuers and foreign governments; ..... "
