For a look at what a two tiered structure can do, look no further than Teck. The power stays in a little cliche and the shareholders just come along for the ride. No way of influencing decisions even if you are the Ontario Teachers Pension Board or what have you. This means the institutions will shy away in time with the consequent result on share price.
