Dear Member,

1997 is going to be an exciting year for us. CyberGate was recently
acquired by American Communication Services Inc. (Nasdaq: ACNS;
acsi.net.) ACSI is a rapidly growing Competitive Local Exchange Carrier (CLEC) building fiber optic networks in cities primarily in the southern United States. ACSI also operates a nationwide industrial strength 45 Mbps ATM data backbone that is connected to the Internet at several Network Access Points (NAPs) including MAE East and West. Our new owners are making it possible for CyberGate to substantially upgrade and expand our network and enhance our technical support department. In the next few weeks we will double the number of modems in our network, connect
to ACSI's advanced ATM network, and move towards 24 hour technical support coverage.

We plan to open many new points of presence (POP's) throughout Florida and the U.S. A list of these cities will be made available upon final approval of each location. As a CyberGate member, you will be able to access our network from any of these locations at no extra charge.

CyberGate is currently upgrading our network to ISDN Primary Rate
Interfaces (PRIs), where available, from either ACSI or the incumbent Local Exchange Carrier. This new service will make it possible for you to access our network with ISDN lines should you choose. One of the major advantages of ISDN is improved connection speeds. We currently offer this service in Deerfield Beach, Miami, West Palm Beach, Port Richey, and Leesburg. New cities are coming up on a regular basis. Please visit our Web site for more details.

We are also a beta test site for the new, soon to be released, US Robotics x2 technology. x2 technology will allow CyberGate members to connect at speeds of up to 56K over a standard analog telephone line. Use of this technology will require a modem capable of x2. We'll post the start date on our Web site when x2 becomes available. Please visit x2.usr.com more information.

We are pleased to announce a new 1997 pricing plan for our customers. The
following changes take effect February 10, 1997. Existing customers on
these plans will automatically be switched to these lower rates. Our goal
is to provide the finest service available at any price.
