There would be much more than market cap to consider. Other numbers
are so far out of whack between the two companies that anything more
than some kind of joint venture seems highly unlikely:

AOL AT&T
Market Cap: 74,834.03 150,369.49 (million)
PE: 342.42 29.04
Cash flow/share: .69 4.69
Sales/share: 6.19 29.61
