To All Novell shareholders <time has come to make changes>?

February 11,1997

Mr.Brad Pacheco
c/o Caplers

Dear Mr. Pacheco,

Our group currently owns 35,750 shares of Novell, and we are extremely disappointed with the BOD of NOVL.
Many issues concern us about the inability of this board to establish a clear vision and movement since the sale of Wordperfect last Spring.

Our group is very dipleased with Novell's inability to find a new CEO.
Enough time has Mr.Marengi now passed, you have failed to inspire public confidance and improved earnings. Perception is something a leader can change-based on the evidance to date,Joe Marengi has not change negative perceptions about Novell.
What has Mr. Marengi failed to change? perceptions are now real-Microsoft has completed a relenless onslaught with their NT system. Novell continues to languish as "legacy systems vender".
News releases about stratigic partnerships have not helped selecting a leader is FIRST PRIORITY, and here you failed.
No matter what else, a necessary condition to improve "negative perceptions" must start-in this case-with a clear STRONG LEADER a well respected leader who knows Internet/intranet marketing opportunities inside out. The BOD of Novell have all its shareholders though inaction. Like my father always said "you must sing and dance at the same time to be a leader", Mr. Marengi.

Please consider this letter as authorization to lodge our protest to
Mr. Marengi and his BOD with respect to their unacceptable confusion.

Mr. Marengi you are incapable of leading the company <novl>, good bye!

We agree, and vote for the REMOVAL of the current President and BOD of NOVELL,Inc. Further delays on these two fronts will result in shipwreck we will not wish to partake.

Thank you for your assistance.

sincerely yours,

Georgios Rigas
