- Immune Entered Into Agreement With Bio-Fluorescent Technologies
Richard L. Richards, Director of Immune Network Research Ltd. (the "Company") is pleased to
announce that the Company has entered into an agreement in principle with Bio-Fluorescent
Technologies, Inc. pursuant to which Bio-Fluorescent will acquire the assets of the Company for
approximately 9,000,000 shares of Bio-Fluorescent Technologies, Inc.. Bio-Fluorescent
currently has 5,937,387 shares outstanding as well as options to purchase an additional 866,667
shares. The transaction is subject to several conditions including shareholder approval, regulatory
approval, satisfactory results from due diligence searches and finalization of the precise structure
of the transaction. The costs of the transaction will be paid by Bio-Fluorescent Technologies, Inc.
Bio-Fluorescent Technologies, Inc. is a public Nevada corporation whose common shares trade
on the over-the-counter market in the United States. The closing price of the Bio-Fluorescent
Technologies, Inc. shares on February 10, 1997 was US $0.34 per share.
The primary reason for forming a relationship with Bio-Fluorescent Technologies, Inc. is to
enable the Company's technology to take advantage of the large capital markets for
biotechnology companies in the U.S. Shareholders of the Company will benefit by being able to
participate in the development of the Company's assets through Bio-Fluorescent Technologies,
Inc.
The transaction is expected to close on approximately May 15, 1997.
