Well, looks like the poison pill won't help with all of the board up for reelection. Phillips can get VLSI the old fashioned way with a proxy fight.

(I haven't read the VLSI poison pill, if any, but usually if the board goes along with the proposal, the pill doesn't kick in or apply.)
