The hostile bid would be a tender offer for shares direct to share holders. If the board tried to impose a poison pill, then Phillips could mail a consent solicitation directly to the shareholders proposing a new board of directors to replace the current board. Apparently, all of the BOD is up for re-election this year, so that makes VLSI particularly vulnerable. My prediction: either VLSI accepts a sweetened offer near 20, or seeks a white knight, also near 20 or perhaps higher. either way, VLSI as an independent company is toast, and we should see another 3-5 points in this puppy. As far as not accepting any offer south of 25, i say to you: how long can you tread water? ggg larry
