Mr. L also denied being able to sell due to a lockup agreement. Does that supercede the language in the S-3 allowing him to hedge? Would he say he hadn't sold if he had only sold short in an off shore account? After all, in this hypothetical scenario, he never sold his long shares, and doesn't intend to. No need to do so, just deliver them to cover his short.
