I spent some time today looking over the S-1's and S-1/A's for both MKTW and UBID in hopes trying to determine when we may see some more detailed info regarding the number of shares and the initial offering price for NETR. What I found was inconclusive.

MKTW

Filed the S-1 on Oct 13th, 1998 with no mention of the number of shares or the initial offering price. Basically empty spaces where the numbers will go, just like the S-1 from NETR.

On Nov 27th MKTW filed an S-1/A which gave the number of shares, 2,750,000 and the initial offering price of between $10.00 and $12,00 per share.

**About a month and a half elapsed between the S-1 and the S-1/A with the offering details. UBID began trading about 3 months after the S-1 was filed.

The initial underwriters were BT ALEX BROWN, DONALDSON, LUFKIN & JENRETTE and SALOMON SMITH BARNEY FAC/EQUITIES.

On Dec 31st they filed another S-1/A and added WIT CAPITAL CORPORATION and DLJDIRECT INC. as e-Manager to facilitate internet distribution.

UBID

Filed the S-1 on Jul 2nd, 1998 and gave the number of shares, 1,580,000 and the initial offering price of $12.00 to $14.00 per share.

UBID also had this provision to distribute shares to shareholders of the “Parent” (MALL).

The Company is currently a wholly-owned subsidiary of Creative Computers, Inc. (the "Parent"). Upon completion of the Offering, the Parent will own approximately 82.3% of the outstanding shares of Common Stock (80.1% if the Underwriters exercise their over-allotment option in full). The Parent has announced its intention, subject to satisfaction of certain conditions, to divest its ownership interest in the Company in 1999 by means of a tax-free distribution to its stockholders but in no event prior to 180 days after consummation of the Offering. UBID provided the number of shares and offering price in the S-1 and it took them about 5 months to get UBID trading but as we all know the market took a dump last fall.

After all that work I guess we'll just have to wait for the S-1/A from NETR for the details.
