SEPR has no such antitakeover protections. Its officers have been periodically asked about this, and have sounded prety wimpy on the point -- they don't worry about it because taking over SEPR's ongoing losses would be too dilutive on the acquirer's earnings statement, etc. I've never been clear why this means a "poison pill" or other anti-takeover provison couldn't be added on, and have thought it irresponsible that they haven't done so.
