Excellent question. To this point, although I have been trying, I do not have a substantive answer.

I would caution against expending too much bandwidth researching the strategic implications of a deal-in-progress, particularly an ugly, hostile one like Phillips/VLSI. It would not surprise me at all to see VLSI find a White Knight, i.e. sell itself to a friendly suitor. Lots of unanalyzable factors, not the least of which include managerial ego (on both sides), are at work right now.
