Rande,
NTKI presented at the "Valley to the Alley" conference today. This is
the reason for the fall in CDNW and NTKI today (I guess no one was
impressed -- not surprising, since we are WELL into the "quiet period;" therefore, NTKI would not be able to legally comment on the merger at this conference). The only url I can find on this conference is from the SI "news" link (3/5) -- which doesn't say much about NTKI (and, therefore, is almost useless). I'm not sure whether this is one final squeeze of the weak hands or just an indication that Wall Street has given up on these guys (for now). The proxy indicated that there were ONLY 323 NTKI SHARE-HOLDERS OF RECORD FOR THE PROXY! (I am 2 of them, so, that only leaves 321.) The merger is BASICALLY guaranteed (34% of NTKI [the insiders] is REQUIRED to vote in the affirmative) and WILL close on the 17th.

I think the salvation of the combined CDNW/NTKI will be a buy-out by a
bigger fish wanting the demographic represented by current CDNW/NTKI
customers -- instant eye-balls with a track record of buying online.

As always, just my opinions.
