Linda, PHG's offer was $17, so no reason to raise it when going hostile. This is shaping up to getting nasty. VLSI board's action in cutting poision pill threshold to 10% and other stuff is going to make things nasty. PHG will have to go to court to overturn the Poison Pill and to get consent solicitation to run their slate against VLSI's entrenched board. With things getting this nasty, i think we need either 1. PHG to throw out some candy with a higher offer, 2. VLSI to come up with a stock buyback plan, recapitalization, or 3. a white knight to surface. STill think we will seek 20-22 or better as a final bid, but wouldn't be surprised to see 13-14 again if PHG pulls their bid. Larry
