Subject: Rebuttal to the Vigilantes
First of all, thank you to the webmistress for offering us a chance to respond to some of the inaccuracies that have been posted to this site. We were told that it was not proper etiquette to use this site ourselves so we have not posted before. We have, on occasion, asked a member to post something for us. This will be the only time we respond to any allegations from the vigilantes. You are welcome to post your doubts and inform any regulatory body that you feel is appropriate.
Why do I call you vigilantes? Because you hide behind the mask of anonymity. Why don't you post your e-mail address, real names, and phone numbers? It's not a very brave thing when you attack from the shadows.
Many of our shareholders have contacted us expressing disgust for you. Some think that you are short the stock and are trying to drive the price down. I don't. I think that at least two of you are very lonely people, with no life other then the screen in front of you. You see yourselves as the defenders of every investor out there. You keep saying that you are neither long nor short the stock. You certainly put in a lot of effort for someone who has no financial interest in the company. Most of our staunch supporters don't do as much research as you people do. We encourage all shareholders to do as much DD as they can. But you guys! You spend hours looking for conspiracies. What color is the sky in your world? What are your qualifications to assess a public company? Developing film is not a good answer "Joseph". Neither is a grade 10 education, Zero. (This is what I was told the Z meant in your mask) Your scare tactics have caused us to lose some shareholders. Some of those are very angry at you. You caused them to lose money. In one case it was a substantial amount because you frightened somebody into selling in the 50 cent range. Are you proud of yourselves?
Most people who buy stock on the BB know it is a very speculative exchange. For that reason it attracts short sellers who know that a lot of the companies will go down in value. If you are not working for them, then you are inadvertently assisting them The only way a company such as ourselves can fight them is by getting our story out to as many investors as possible. To do that, we have to turn to outside resources that have the expertise that we may not. When vigilantes attack us we will defend ourselves. Since they have a public forum, and etiquette dictates we don't use the same forum, then we have to use other means. We also don't have the time to respond to incessant queries (from non-shareholders) because we have noticed that for every answer you have another question. Our shareholders want us running the company and increasing their net worth, not pandering to semi-literate people who can't even use a spell checker properly.
Now I will try to answer some of your queries.
Post 1258 from Zero This thread has just had its share of hyperventilating Enthusiasts. In the last week there were 17 posts from vigilantes bashing us. Take a look at the past month. Who are the enthusiasts? Now I just received an email from WSRG re: PINC. Please read the third paragraph very closely. Humble question, Zero. Why are you on their e-mail list? Nothing better to do? Hmm! Note the date of the email precedes announcement of today's "news" release which contradicts the timing set forth it this "news" release. Say what? Even the grammar checker is confused. I'll try to interpret. We don't have to put out a news release on something like this, but in response to the whining of the vigilantes in previous posts, we did. We also don't have to post our financial information, but we do. How many BB non-reporting companies do release their information? Not many. Even reporting companies only have to do an audit once a year. We released our June audit last year. But fear not, oh protectors of the investment world, our year end audit is in draft form and will be released shortly. This is something that reporting companies are not doing. Sales were not as high as we anticipated due to the apathy of the general public about fixing their personal PC. How many of you out there reading this have done anything about your PC yet? We expect Y2K sales to explode in the last 6 months of the year. We also expect significant revenue from current and future projects this year. And, we still have no debt and cash in the bank. Please also make sure you go back and read Ted Denis' review of the software. As for Ted Dennis (as you call him) we thought that his appraisal was very insightful and accurate. Although we had a good product it wasn't great. I contacted him to thank him, for his assessment of the MBCK. I also asked him for any assistance he could give us to make the company better. His assistance to date has been invaluable. We respected HIS opinions and put them to good use. We will be coming out with a much superior product shortly. Hopefully this one will pass his muster.
As for Cardservice, the reason for putting their size in the news release, was only to demonstrate the prestige of the company that chose to do business with us. I don't think that they have ever done anything like this before, but we all know "Joseph" likes to phone the companies that we mention so maybe he can find out. I'm kinda curious myself. So can we count on you "Joseph"? .
Post 1273 from Zero "If PINC is legit or not is irrelevant," Our shareholders will be glad to see that you care so much for them. I guess this really brings out your true business acumen. Many investors are becoming very jaded of these methods. All investors who called thanked us for doing something to repair the damage caused by the vigilantes and the short sellers.
PINC should build an audience for ITS products. PINC should not be so pre-occupied with building an audience for its stock .
Where is MZD? Where are advertisements in magazines selling the product? Where are more banner placements?
Again build the audience for the products plus provide distributor information on the web site.
Pumping the stock puts the cart in front of the horse.
Where is your Harvard business degree? Or your high school diploma? As for MZD, we felt that our shareholders would be better served if we allied ourselves with an industry advertising firm. We are currently interviewing some now. And, they approached us. One in particular, with extensive industry experience, has given us a proposal.
Post 1274 from "Joseph" Humbly report, All, Microsoft Rolls Out E-Commerce Services, Humbly suggest "Joseph" it's nice to see Bill Gates following in PINC's footsteps. Remember when you were scare mongering about MSFTs big Y2K solution giveaway? Where is it? Do you know what price tag MSFT put on it? Another little task for you.
Post 1275 from "Joseph" I think I'll just leave it at that for now, since I assume ztect will have some very interesting comments to add. Assume? Only those that believe in the tooth fairy will think that you and Zero are not communicating with one another. It's pretty evident by all of the legalese in post. # 1278.
Post 1276 from Zero Surprise....surprise.....
NOT
And to think I caught Greg Kraft not telling the truth. And now to why I'm wasting my time on you losers. You said that I lied. Well, we'll get to that in post 1278, where you hoped to hide behind your mask, and hope that the legal bafflegarb was going to protect you. But lastly, a last word from our favorite defender of the people.
Post 1277 from "Joseph" Well, I've revisited a few web sites. Did you look into the relationship with the other 100+ companies using that server, "Joseph" ? Are you going after them because we are all on the same server? Vigilantes always assume guilt by association, don't they? Well, I took the trouble to get an explanation for this and here is the reply.
When a domain is registered, DNS (Domain Name System) server entries are required so that everyone else on the Internet knows where to find that domain. Each domain has a primary and a secondary DNS entry in their Internic record. A DNS server is like a phone book which tells the searching computer where a domain is located. Also, web servers commonly host more than one site or domain, and it is very common for a web hosting company to host one hundred or more domains. For each domain that a company hosts, a corresponding DNS entry is required.
With this said, the company that hosts both Planet City and Global TCI's web sites uses the (arbitrary) names ns1.planetcity.com and ns2.planetcity.com for their DNS server, which is like saying they both have parking stalls in the same garage.
For further information, the technical contact for the web hosting company is: D Roussos admin@medianetsolutions.com (604) 681-4911
I'm sure that you still see a conspiracy here, but give it a rest, will you? This is getting boring. Have you seen Raging Bull lately? And no one from the company initiated those posts, or was aware of them until they had been posted.
Post 1278 from Zero Here are some excerpts from email I received from Kraft which you may find interesting. The first excerpt is very telling...
"...I'm sure that the reason you want this written is so you have a record of what I'm saying, so you can refer to it or post it in the future. Please be advised that this is a private communication and shall not be distributed to anybody without my written approval...."
There are several problems with this above excerpt.
1). This excerpt is acknowledging a PREFERRED correspondence with a specific share holder. SEC regulations specifically do not allow such "private communication" between IR and any one share holder. This email message in its entirety has been forwarded to the SEC.
You're right about one thing. It's very telling. Do you really think (probably you do) that I had any faith in you not posting anything I wrote? I'm not as dumb as certain vigilantes seem to be. I'm just surprised that it took you so long to get someone to steer you to the right legalese whereby you could hide behind. You seem to be good at hiding Zero. And Zero, you naughty boy, have you been lying to everybody? First you tell us that you don't own any stock, and then you tell us twice that you as a shareholder were given preferred , sorry, PREFERRED ( I know you like these big bold words Zero, but really!) information.
2). Legally the case for privilege was not established or agreed to prior to receipt of this email message. Therefore, Kraft's statement that I need his "written approval" is a term he set forth, but under which I am in no way legally bound to since I never agreed to prior to receipt of this "private communication" . Kraft should have preceded any written statement I received with a confidentiality agreement, to which I signed and agreed, prior to the release of any such statements on his part as contained within the email from which this excerpt is taken. Kraft, therefore, willfully put this information into the public domain.
3). In addition, Kraft didn't qualify that no part or any excerpt from his said text couldn't be reproduced "in part". Kraft, therefore, further undermined his own pretense at legalese.
Gee! Thanks for Law 101, but why? If you weren't worried, why did you feel the need to post? If you were within the law why were you so worried that you felt that you had to give us all of this verbiage? Just wondering. Oh, and did you check out libel laws ( or whoever feeds you your lines)? I'll save "Joseph" this little task. Don't bother, because your net worth doesn't warrant going after you. Sorry! I know you like attention, but that's the way it is.
Subject: Regarding relationships amongst bb companies
Greg,
You said....
"...I really don't care. You can be all over them as much as you want. However, for your info I did buy 10,000 shares of their company last week because I was told that WSRG was going to promote them, and I am not averse to making a quick profit ..But so far, that is our only involvement with GTCI....."
You also stated,
"...As for GTCI, they have a presence in Asia that we would like to piggyback on to. We are evaluating their software to see if it makes sense to bring it to NA. NO DEALS HAVE BEEN MADE, YET, WITH GTCI...." Golly, gee whiz, Gomer…sorry, Zero…I guess our shareholders will be mad at us because GTCI is paying for one of our technicians to go to China, and do a demonstration to potential buyers of the MBCK? I guess it is "irrelevant" for us to try to make money for our shareholders?
1). Did you know anything about WSRG's promotion prior to taking your position because of PINC's use of WSRG for promotion 2). Is there not a contradiction between the first and second statement?
(1) Yes. It was common knowledge that WSRG was promoting GTCI. Anyone who phoned the IR firm was told that. Having faith in their ability to disseminate a public companies potential I decided to take a flyer on them. Do you really think (obviously you do (I keep asking you rhetorical questions don't I?) ) that if I thought it was illegal I would let someone like you know? Give your head a shake! However, it was not because of PINC's relationship but something entirely different. (2) I have no idea what you're asking here, nor does anyone else of any intelligence that I asked to interpret for me. However, in relationship to our recent GTCI alliance you were asking for PREFERRED (Just want to keep you happy) information that I was not able to give out because it was not a done deal, and it was not announced to the public. ( Just as an aside Zero, are you passing this on to the SEC? I know you don't care about right or wrong, but fair is fair. If you are, don't forget to highlight this last part) Also, Zero, did you let the SEC know that you willfully tried to get PREFERRED information when you knew (see above) that it was contrary to SEC policy? As a SEC investigator, isn't this known as entrapment? SEC investigator? Where did that come from? Well, from your own words in an e-mail message to me, and I quote, "I've been playing SEC snoop regarding a company called GTCI." Well, the SEC did not take too kindly to your "playing" an investigator when I contacted them The person I spoke with mentioned fines and possible jail time for false impersonation. You, apparently know all of the regulations better then I, so why would you represent yourself in this way? Is this how you truly see yourself behind the mask? As a SEC snoop? Anyway, the SEC will be following your career quite diligently from now on It's amazing how words can be misinterpreted, isn't it? When we do it we get castigated for it, but no problemo for you, huh? So far, Zero, you've "advised" us, given us your "opinion" on how to run the company, and "strongly suggested" to us that if we did not heed your expert (?) remonstrations, we would suffer. Do we owe you a consulting fee for all of this sage wisdom? I've got a couple of pennies in my pocket and won't even ask for reimbursement from PINC for this expense. This is an excerpt from another e-mail that you sent.
However, if you have indeed, been misleading me.....there will be consequences from your actions. Pretentious, aren't you? Again, I strongly suggest you bring to the attention of your attorneys the use of the Planet City name by GTCI. How come you didn't mention that GTCI said they were changing the name? Also I strongly suggest you distance PINC from the likes of "the Wall Street Research Group" and "the Emerging Companies Reports" because GTCI is also using these entities to pump their stock. It appears to us that you were threatening us. Back to Law 101. That's a no, no. It appears that you are nothing more then a bully whose power on the internet has gone to his head. Do you function well in the real world? Not from what I've heard. It also appears that your problem was with GTCI. And quite a problem it appears to be, in your mind. Well, GTCI is not PINC. Sorry! Your conspiracy theory is toast!
And by the way...I did click on the URL and it worked fine for me...don't know why you couldn't have visited the SI site anyway which would have been a simple work around. Went back and tried again, same thing. I did go into their site briefly, but I had better things to do (as I explained to you - forgot about that did you? Convenient!) and all I did see was you blasting the company. Of course you told the world that you were neither long nor short the stock. Does "Joseph" feed you all of your lines?
Now for shareholders, my opinion is that the best strategy is a long term one. Gee! Why didn't we think about that? The shareholders may want to fire management for not coming up with this philosophy. This from a person who said it was irrelevant if the company was "legit". Was this in Business 101 that you learned at Harvard?
I will not call you, and will construe any non--reply by you, unfortunately, as an aspersion. Uh, Zero? How can I be slandering you by not replying in writing to you? Back to the dictionary Zero, lad. Did you think about slander when you called me a liar? How about the comments you made about a GTCI director being involved in a number of bad companies? Should I track this person down and see if he wants to sue you? Oh, and at this time I would like to point out that it's not krafted, but crafted, as per some other inane post.
So please remember that any EXAGGERATION of claims, even if the underlying claims are true, in an effort to bolster share price through the use of news letters is construed as manipulation...so again I advise you? as a courtesy to be careful about the company you choose.
Back to Law 101 are we? When the SEC shuts down all of the newsletter writers, IR firms, and financial PR firms, or advises public companies that this is manipulation, then we will comply. Not when some vigilante "advises" us to be careful of the company we keep. Maybe you should take your own advice?
Funny how IR is in Vancouver, Planet City Graphics is in Vancouver, GTCI's directors are in Vancouver, and so many of the other shell companies associated with the director's of GTCI are also associated with Vancouver...
How come you forgot to post, and tell the world, that I informed you that I had found out that there was one person in common between both companies, who was not an officer, director, or employee, of either company? How come you didn't tell the world that I thanked you for letting me know about Planet City Graphics, and that I received assurances that they would change their name as quickly as possible? How come you didn't tell the world that I explained that the relationship occurred before the Y2K project was vended in to Planet City (symbol PICY) under different management? How come you didn't tell everyone that I explained to you that Planet City was going to acquire the graphics company, before the vend in, and that is why it was named Planet City Graphics?
Take a wild guess at which city in North America what the Scammy Award for scam capital of North America? And guess how many of those scams were perpetrated by Americans? I think that you will be very surprised to find out. It's idiotic ( for most) to blame the city. The VSE had a terrible reputation, which they are successfully cleaning up. However, because there was still this stigma amongst the ignorant we decided it would be better to take the company public in the US because the SEC regulated public companies so well, and American exchanges have a better reputation. Did I just hear another bubble pop?
This was a long post because so much nonsense, over such a long period, had to be answered. As a young company we will make mistakes. We have made mistakes. We are a speculative baby in relationship to other seasoned companies. We are surrounding ourselves with credible people and organizations, as fast as we can. Some will work out, some will not. But at least we're trying. Management may make decisions that are not popular, or may not be understood at that time, by some. But we will be doing it in the best interests of the company. Our shareholders demand this of us. They vote every day by selling or buying shares in PINC.
We will not be dictated to, or be threatened by any vigilantes. When you people make a mistake or post something that is totally wrong, you don't acknowledge, correct, or remedy it. When we make mistakes, we are scamming the public.
As said earlier, this will be the only time we respond to any further postings.
Finally to "Joseph" and Zero, come out of the closet. Post your real names, phone numbers, and e-mail addresses. Tell the world what your qualifications are to critique public companies. Come out from anonymity. We could have posted this information but we chose not to. History has proved time and again that those that hide from the world are either ashamed, have something to hide themselves, or are not the good guys. And boys, GET A LIFE!
Thank you to all of our supporters and shareholders that have shared their thoughts, comments and criticisms of PINC. We are building a real company and your faith will be justified.
Greg
