Yes, the latter can be the case as it has been an "amendment" to the old November S-3. Hence, something may have been done before.

Usually the increase in shares should also reflect a "conversion" of a debenture or preferred stock to common, not the issue of a convertible (the representation of an issue in convertibles is only used for dil. EPS calculus or if voting rights are connected to them).
