Craig obviously they can buy back above $3. Real simple scenario: What if the stock was above $3 and the 400,000 shares weren't purchased yet, Does that mean they could never buy back their stock anymore? If that was the case, they could never fulfill their promise of a 400,000 share buyback.

My guess is that they already bought all 400,000 shares. Which would be fine with me, because then if GIFS owns it, a good bulk of the float is in safe hands.
