Quite to the contrary, MSFT has no need for cash, period. Since Citrix has no immediate need for additional operating cash, we can presume that there is no takeover even under discussion. Unless, of course, Citrix has stolen a page from Jim Allchin's manual on "How to Screw the Other Side During a Negotiation". <g>

Unfortunately, without knowing the terms of the offering, it's impossible to form a meaningful opinion regarding the nature of this move. What we do know is that the Street does not like uncertainty, and I would suggest that the uncertainty surrounding the underlying purpose for the offering was a catalyst for today's decline. HOWEVER, today's move was not on particularly large volume, and was certainly not an unusual move for CTXS in terms of dollars or percentage. Another day or two of this and I'll be ready to reinitiate a long position.
