GS confirmed he vote is only formality w/o proxy fight (Red Herring) as SOftbank who owns 72 % of ZD initiates the ZDZ IPO. Moreover, it will be a unanimous yes as ZDZ spin-off would be certain to fill the coffer for ZD reducing its debt and enhance shareholders value. No shareholders in the right mind would vote no as the market already voted sending the share rising. The vote will be on 3/30, IPO pricing the night before IPO 3/31, IPO date 4/1/99.
