Think about it; would you prefer 1 share of Mattel or 1.2 shares of Mattel for each share of TLC. The price of Mattel is immaterial. Mattel would certainly prefer giving TLC shareholders only 1 share, and IMO whatever Mattel wants is against my interests at this point.

Anyway, the deal is a bit more complicated then you state. TLC gets $33 a share only if MAT is at $33 or higher, i.e., 1 for 1 exchange. TLC gets 1 for 1 also if MAT stays between 27.5-33 (fixed by a formula) in the 20 trading days before the closing. TLC gets 1.2 shares MAT if the price stays below 27.5. Ballpark guess, when MAT finally takes out TLC, it'll be at 28 and change.
